These Terms & Conditions (“Terms”) govern your use of the Powder Bags website and purchase of our products. By accessing or using the website, or purchasing from us, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the website or place an order.

1. Definitions

• Company, we, us, our means Powder Adventures, Sociedad Limitada (trading as “Powder Bags”), registered in Spain, with legal address Calle Platerias, 28036 Madrid, Spain, with NIF B75991190.
  
• Customer, you, your means any person who uses the website or places an order.
  
• Products means any goods made available for purchase on our website, including backpacks, duffel bags, luggage, tote bags, etc., as described on the website.
  
• Website means the Powder Bags website at www.powderbags.com and all associated online services provided by us.
  

2. Applicability

These Terms apply wherever Powder Bags does business in the European Union and Australia & New Zealand, and to all customers in those territories. If local law requires additional or different terms, such law prevails to the extent it cannot be agreed away.

3. Orders, Acceptance & Contract Formation

1. When you place an order through the Website, you make an offer to buy the Products under these Terms.
   
2. We will send you an order confirmation by email. The contract between you and us is formed at the moment we send you that confirmation, provided payment has been made (or payment terms accepted) or we have otherwise accepted your order. We reserve the right to refuse any order for any lawful reason, including inability to deliver to your address.
   
3. All orders are subject to availability. If a Product is unavailable after your order is accepted, we will inform you as soon as reasonably possible, and you may cancel the order for that Product (in which case we will refund you any payment made for that Product).
   

4. Prices, Payment & Currency

1. The prices shown on our Website are in EUR & AUD, and include applicable taxes (e.g. VAT for EU; GST for Australia) unless otherwise stated.
   
2. Payment must be made when ordering unless otherwise agreed. We accept the payment methods indicated on the Website.
   
3. You are responsible for any customs duties, import taxes, or other charges imposed by your country on delivery.
   
4. We reserve the right to amend prices due to mistakes, currency fluctuations, or changes beyond our control. If a price change would affect an already accepted order, we will contact you and give you the option to cancel.
   

5. Delivery & Shipping

1. We deliver to the destinations listed on our Website. Delivery times are estimates only; while we aim for accuracy, delays may occur.
   
2. Risk in the goods passes to you once the goods are delivered to your address.
   
3. Title (ownership) in the goods passes to you once we have received full payment of all sums due in respect of the goods and you have paid any delivery or shipping charges.
   
4. If you discover damage or discrepancy upon delivery, you must notify us in writing within 7 days of receipt.
   

6. Returns, Refunds, and Cancellation

 

1. Right of withdrawal (EU consumers only): Under EU law, if you are a consumer, you have the right to cancel your order within 14 calendar days after you, or someone you nominate, receives the goods, without giving any reason. To exercise this right, you must inform us in writing (email or post) before the withdrawal period ends. You bear the cost of returning the goods unless otherwise stated.
   
2. Refunds (Australia & EU): After we receive the returned goods (or evidence that they were shipped), we will refund you all payments received for the goods, excluding standard delivery costs. We may deduct from the refund any reduction in the value of the goods if this is due to handling beyond what is necessary to establish the nature, characteristics, and functioning of the goods.
   
3. Faulty or misdescribed goods: Our goods must meet certain statutory guarantees. If a product is faulty, not fit for purpose, or not as described, you are entitled to repair, replacement, refund or compensation under applicable consumer law (EU consumer rights directives; Australian Consumer Law (“ACL”)). We will be responsible for the cost of return in such cases.
   
4. Business customers / no withdrawal right: If you are not a consumer (i.e. purchasing for business, professional use), you may not have statutory right of withdrawal. Our returns policy in such cases is as per our discretionary policy, as published on the site.
   

7. Warranties and Product Information

1. We warrant that Products will conform to their description, fit for ordinary purpose, and meet any other guarantees implied by law (e.g. EU Sale of Goods Directive, ACL) for a period of 1 year. This does not apply to damage resulting from misuse, alteration, or normal wear and tear.
   
2. All product descriptions, specifications, weights, dimensions, waterproof / submersible ratings etc., are based on information supplied by our manufacturers and best estimates. They are provided in good faith. Slight deviations do not constitute defects.
   
3. Our obligation under warranty is, at our option, to repair or replace the item, or to refund the purchase price.
   

8. Liability

1. To the extent permitted by law: We are not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Products. Our total liability for damages arising out of or relating to any order will be limited to the price paid for the Product under that order.
   
   
   
2. Nothing in these Terms limits liability for: Death or personal injury resulting from our negligence. Fraudulent misrepresentation. Any liability that by law cannot be excluded or limited.
   
   
   

9. Intellectual Property

1. All intellectual property rights in the Website and its content (images, text, logos, trademarks, designs etc.) are owned by or licensed to Powder Bags. You must not use our intellectual property without our prior written consent.
   
2. When you upload or transmit content to us (reviews, photos etc.), you grant us a non-exclusive, royalty-free, worldwide licence to use such content in marketing or other lawful purposes.
   

10. Privacy and Data Protection

1. We collect, use, and process personal information in accordance with our Privacy Policy. For EU customers, the General Data Protection Regulation (GDPR) applies; for Australian customers, the Australian Privacy Act 1988 and the relevant state or territory laws apply.
   
2. You consent to us sending service-related and marketing communications, but you may opt-out of marketing at any time.
   

11. Governing Law & Jurisdiction

1. These Terms and any contract for purchase of goods shall be governed by:
   For customers in the European Union: the laws of Spain and the courts of that Member State. For customers in Australia: the laws of Vitoria, Australia and the courts thereof.
   
2. If any dispute arises between the parties, you agree to try in good faith to resolve it informally first. If not resolved, the dispute may be submitted to the courts of the above jurisdictions.
   

12. Unfair Contract Terms & Consumer Rights

1. If you are a consumer, certain terms may be voided under applicable consumer protection laws if they are deemed unfair, misleading or inconspicuous. Under EU law, standard contract terms must be fair and transparent.
   
2. Under Australian Consumer Law, standard form contracts must not contain unfair contract terms. Any part of the Terms that is deemed invalid or unenforceable under applicable law will be severed, and the remaining Terms will continue in full force.
   

13. Force Majeure

We will not be liable for any failure or delay in performing any of our obligations under these Terms where such failure or delay is due to causes beyond our reasonable control (e.g. acts of God, natural disasters, war, pandemics, strikes, government actions...).

14. Changes to Terms

We may amend these Terms from time to time. Changes will take effect on the date indicated. Continued use of the Website or placing of orders after changes means you accept the new Terms.

15. Miscellaneous

1. Severability: If a part of these Terms is held invalid or unenforceable under applicable law, the remaining provisions will remain valid.
   
2. Entire agreement: These Terms, together with any order confirmation, price lists, Product descriptions, and the Privacy Policy, constitute the entire agreement between you and us in respect of purchase of Products via the Website, superseding all prior communications, representations or agreements.
   
3. Assignment: We may assign our rights and obligations under these Terms. You may not assign yours without our prior written consent.
